Real Estate Transactions

• Represent sellers and buyers in the sale and acquisition of commercial and residential property. Transactions include the sale of a prominent lodge in Vail, Colorado, the purchase and sale of office buildings, shopping centers, and mixed-use projects throughout the country, and the purchases and sale of high-end residential properties throughout Vail Valley and the Denver Metro area.
• Prepare and negotiate leases on behalf of landlords and tenants with respect to commercial properties, such as mixed-use projects and office buildings, as well as residential leases.
• Represent lenders in financing transactions, including SBA 504 Loans, construction loans, seller-carryback loans, and term loans.
• Prepare and negotiate easements, covenants, and other third-party agreements, including tenants in common agreements.
• Advise and assist with land zoning issues, including zoning changes, variances, and compliance.

Business Transactions

• Entity formation and general corporate governance.
• Contract drafting and negotiation of contracts with respect to business operations.
• Prepare and negotiate asset purchase agreements with respect to the purchase or sale of business assets.
• Small business financing, including SBA 504 Loans and other financing structures.
