Mark is a fourth generation Colorado native with a broad transactional practice developed over the past 24 years. Having spent the last 18 years of his career as an equity partner at a top 200 U.S. commercial law firm, Mark now brings his expertise to HND&M. With a focus on corporate, real estate and intellectual property aspects of his clients’ business operations, Mark provides advice on a full range of business transactions, from business planning and formation, through growth involving contractual, management and operational issues, as well as with mergers, acquisitions, and dispositions of companies and their assets. Mark has represented clients of all sizes, from global companies to smaller and up-and-coming entrepreneurs, in a broad range of industries.

In the real estate arena, Mark has significant experience representing sellers, buyers, landlords, tenants, and lenders in transactions involving acquisition, disposition, leasing, and lending of commercial, industrial and residential real property, and documenting and enforcing rights among third parties through easements, covenants and restrictions, as well as providing legal opinion letters affirming parties’ rights and responsibilities in various transactions.

When addressing intellectual property rights, Mark has represented clients both domestically and abroad in various intellectual property matters, whether related to trademark portfolios, branding and rebranding of products and services, licensing, or protection of clients’ intellectual property capital. Representative Matters

Business Transactions

  • Entity selection, formation and general corporate and business representation
  • Contract drafting and negotiation in diverse industries for various aspects of business operations
  • Mergers and acquisitions as seller or purchaser representative

Real Estate

  • Represent sellers and purchasers in the sale or acquisition of predevelopment and operational real property. Transactions include sales and purchases of shopettes, pads within shopping centers, apartment complexes, office buildings, ranch and farm land, entitled lots, high-end residential property, and property with drilling operations
  • Prepare and negotiate leases on behalf of landlord and tenants in a variety of industries and property types.
  • Represent lenders and borrowers in financing transactions, including construction and term loans, securing liens against real and personal property, exercising redemption rights, UCC sales, providing legal opinion letters
  • Prepare and negotiate easements, covenants, restrictions and declarations for neighboring or adjacent property owners.
  • Advise on land use issues; representation in obtaining conditional use permits and zoning changes; representation in condemnation and governmental taking matters

Intellectual Property

  • Advise clients in developing trademarks, rebranding and protecting their intellectual property
  • Prepare, prosecute and maintain trademark applications and registrations in US and internationally; Advise clients on copyright issues and registration
  • Prepare and respond to cease and desist letters and infringement matters
  • Prepare and negotiate trademark licenses, co-existence agreements and consent agreements
  • Prepare and negotiate software and other intellectual property licensing agreements
  • Prepare and negotiate vendor contracts involving intellectual property and confidential information
  • Representation in trademark opposition and cancellation proceedings
    Advise clients in obtaining and in acquiring or selling domain names

Franchise

  • Represent franchisees in negotiating and purchasing franchises and multi-unit development arrangements; purchase and sale of franchise systems
